You'd need every share owned by retail to vote no to the new compensation plan to block it - I've never seen retail come anywhere close to voting at a 100% level - most (including me) usually say "I only own xx out of yyyM shares outs, my vote won't matter so I won't bother voting" (same reason so many people don't vote in political races, "I'm only one vote so it doesn't matter if I vote or not"). I will definitely be returning my proxy vote this time, however!
