HOLY SMOKES!!! Someone actually did some DD and found out that the patent belongs to Mitsui via a Security Agreement. So instead of this in regards to the APA:

Let's try knowing the whole story! When Mitsui sold their stake in Bioamber Sarnia for $1 CAD they were granted a security agreement over almost 95% of Bioamber's IP including the patents, trademarks and shares in Comet. That means Mitsui owns almost all the IP that is listed in the APA. However I defy you to find Mitsui as a Vendor or Party to that APA. Bioamber CAN NOT sell something IN THE APA that doesn't belong to them!!! So the question is: How will Bioamber acquire all its IP back from Mitsui so it can sell it in the APA to LCYB?
