The accounting is being treated as a “business combination”...which is why they still say:
“The Company has not filed audited financial statements for KB Medical Systems, LLC due to the uncertainty over the proper reporting of the transaction and due to the lack of access to financial records of KB Medical Systems, LLC, which continued after closing as an independent, unrelated entity.”
The fact that there is an “and” referencing the lack of access (assuming the records exist) doesn’t really matter. They are kicking the can down the road. Perhaps they will clarify in the 10-K.
But the fact they are addressing the question of the KB audited financials such as they are demonstrates it is still an open question.
