Likely a couple reasons. I think...

First Saean has said they plan to buy shares on open market after listing. Using PIPE funding. Better to buy low than high. Then they can do whatever they want with their shares after the price runs up.

Second there is likely a big tax to pay on the Korean exchange to US dollars if there are large gains initially. Better to cross over at a closer to equal value.
