AppSwarm Inc. (SWRM) is a publicly traded OTC company restructured in late 2016 by management group, Southbridge Advisory Group Inc. The point of reorganization was creating a successful software technology development team to create software platforms focused in rapid growth markets and launched within a symmetrical two-division effort. The team has a software development success record in gaming and entertainment platforms, as well as business platforms that offers leading edge performance in the service sectors.
AppSwarm maintains lean corporate expenditure in staffing and operating expenses. The Company utilizes profit-based incentive compensation combined with minimal monthly compensations until the company is appropriately profitable. Corporate management will maintain all business management aspects and have direct responsibility for profitability of the operating companies with daily hands-on management requirements.
The Business Model
The AppSwarm focus is to annually acquire or launch companies that offer economically advantageous acquisition structures with transparent growth opportunities. As well AppSwarm will review companies within our experience factors that need restructuring but offer immediate growth and excellent potential returns. The acquisition profile is; companies that are symmetrical within the two divisions outlined below and can be acquired within a three-year return of investment period, have key staffing in place, with transparent immediate and long-term growth.
The second focus is to continue to develop software platforms for the business service sector, and for gaming and entertainment.
The corporate goal is to create ongoing growth in shareholder value.
The Business Focus
AppSwarm is focused in launching two divisions focused on creating symmetrical but separate high- growth markets. Those being:
• IAD Services Division – This division focus is to annually complete one or more synergistic acquisitions that offer historical consistent revenues and profits; while offering transparent growth capability that needs to be supported by a solid business management and technology team. Joint- venture efforts will be brought forward in this division where our services and software platforms enhance our partner’s efforts creating shared profitability.

• Media Play App Development Division – This division is focused in development and publishing of mobile-app products in gaming and entertainment along with supporting incubation of app development as well as in-house project development. Merger & Acquisition Suggested Investment Funding Structure Options
I. Debt / Equity – A twenty-four-month convertible debenture paying twelve percent annual interest that is convertible after month six of execution at a twenty-five percent discount to the mean twenty-eight-day trading share value. The assets of the acquired company can be offered in collateralization of the note.

II. Equity portion of the acquisition required to complete an asset-based institutional loan (typically 30% of purchase portion due at closing). A twenty-four month note at twelve percent with an agreed upon stock issuance to the equity participant.
Note: AppSwarm anticipates completing one acquisition at a time with the desire to complete two acquisitions in the 2020 calendar year with total acquisition capital requirement of $4,000,000 to $6,000,000 dependent upon the value of each acquisition within our M & A parameters.
