announced that pursuant to the SDC Purchase Agreement (Note 9) , it has released the SDC Members
from their voluntary escrow, effective Nov 17, 2019. This will lead to an escrow release of 16,167,092
shares (the “Release), however, the Release is still subject trading restriction of the Securities Act of
1933, until the summer of 2020.
