For anyone wondering if there will be an a/s increase, please understand the following:

The company has taken significant steps to renegotiate its convertible debt so there will be no a/s increase. Those steps have been SUCCESSFUL as laid out in Note 13 of the Q3 10Q. Upon completion of those renegotiations, the company has made NO PROPOSAL to increase a/s.

Furthermore, there is a proxy vote in place right now, to be voted November 23rd. That vote contains NO PROPOSAL to increase a/s.

In addition, the company just completed a $14M acquisition and did NOT issue shares as part of the purchase. The company also did NOT issue convertible debt as part of the purchase. Thus demonstrating that the company can execute its growth strategy without any need to raise a/s.

There is no proposal to increase a/s.

Period.

The company has specifically taken the steps above to protect shareholders interests.
