Sharp got a conventional loan. That means that he plans on paying it back with cash, but if can't pay it back in a year, the lenders have the option of getting paid in shares.

While GRDO doesn't file - they report, the report states the current value of the conversion if needed. Provided the company does a RS, the conversion price is .0032 and will amount to about 100mil shares. If they don't do an RS, it will be because of repatriating about 800mil shares back into the treasury. If that is the case, the stock price will likely increase by a factor of 4. At that point, they will be able to pay back the loan - even if that means they need to borrow at a better rate.

As previously announced, under the terms of the non-brokered, 12 month 15% notes, the financiers have the option to convert any part of the principal and interest @ $.0032 per share, on a post-split basis. The agreement also provides warrants, entitling the financier to purchase new shares from the company at $.0064/share on a post-split basis.
