Current O/S is 23,263,187 shares....

1) Held by insiders before Sound Concepts acquisition (a little over 5 million shares).....PAGE 58 from the final S-1A filed on April 2, 2019.....https://www.sec.gov/Archives/edgar/data/1566610/000149315219004647/forms-1a.htm


2) After acquisition Sound Concepts Owners own just over 4.4 million shares. This was from the 3,194,888 restricted shares at a then common market value of $10 million, plus the $4 million purchased in the offering at $3.13.

3) Next, institutions own roughly 1.8 million shares and Mutual Funds hold a little over 400,000 shares making another 2.2 million shares.

Let's stop to do some math on this...we are now at 11.6 million shares of the 23 million share O/S in Insiders, Directors and Institutions hands. That's roughly 50%

4) On the latest offering, preferred stock was sold to issue up to 3.87 million shares of common stock....

5) Lastly are the longs who have held and added plenty more shares down here.

MY TOTAL TALLY....I BELIEVE most of the last offering are holding, but let's only count about half of that preferred stock staying in long hands, so roughly 2 million shares...I'm also putting 2 million more shares in long and steady hands (from what I know and in my opinion ;)....

This comes to 15.6 million shares of the 23 million O/S (of which 11.6 million we have proof of) in secure hands.
