Transaction code “A” covers grants and awards of stock or any transaction between the insider and the company. It does not cover open market transactions at all.

It is reasonable to assume that such a small amount of stock was simply a grant or award under some employee stock award, 401K or other program.

If it was not, then the only other option was a purchase by the insider from the company directly.

But that raises even more questions. Given the small value why not just do an open market buy? Certainly to avoid the criticism of it being yet another issuance by the company.

Was it because even the $3000 was important to the company?

It is such a ridiculously small amount that it is nothing more than a token move to help the “Form 4” narrative forward...and even then they couldn’t bring themselves to do an open market purchase. Lol.
