Did Ponder and Hayter start SGSI with the "INTENT TO DEFRAUD"?

Ponder and Hayter almost immediately took voting control of SGSI.

Ponder and Hayter took it upon themselves, to write into their contracts, that they would each receive one million dollars at the time they relinquish voting control. Voting control they gave themselves with the FREE SHARES they received.

Ponder and Hayter, who came to SGSI with the MVTG acquisition of AW Solutions, purchased 2 acquisitions from ICLD.

Ponder and Hayter wrote the terms of those deals, where as ICLD conveniently ended up with majority common share owner ship of SGSI one quarter before the merger with Wavetech GBMG is to transpire.
