I think it has to do with the APO and merging a parent company into a subsidiary. The parent company holds majority shares but is not publicly traded like the subsidiary. We need to first become the subsidiary. Doing it this triangle about way let's them set price like in an IPO based on value of parent company's assets and cash/pipe financing. Should get us straight to the Nasdaq. Very knowledgeable team in control and they believe this is the quickest way to uplist.
