There is a large universe of institional investors of various sorts. Although some small percentage might engage in trading, such as a hedge fund, the vast majority will not acquire penny stocks (and OTC stocks) for any reason. It’s just outside of their bylaws and investment strategies, not so much a SEC reporting issue.
