From the cursory look if I'm reading it correctly, the 8K appears its a filing for an internal transaction. Saean Nevada is selling CD which is convertible into commons. So Saean Nevada increases its ownership.

Tell me if I'm reading this right?

From the 8-K:

The Note Payables shall be convertible into the Common stock of the Company pursuant to the terms and conditions of the Agreement and the Note Payable.
