Borgers knows the rules. They know that the issuer, Sunset, is required to have a quarterly report reviewed by their Independent Accounting firm. Here, in a filing the likes of which I have never seen before, Sunset is acknowledging that Borgers DID NOT review their quarterly report and hence "that the Financial Statements were not properly issued and should not be relied upon".

Borgers isn't likely to have raised this kind of stink simply because Sunset didn't play by the rules of procedure. There is something or some things in the report that Borgers iasn't happy with and they don't want you, I or the SEC thinking that they looked at it and thought it was okay.



ps. An Item 4.02 is the kind of 8-K filing that class action lawyers have alerts set for. If no suit (or "investigation") comes about as a result of this it will only be because they saw no money in it.

I don't know what they're worried about but this is a BIG deal. A client is rarely if ever advised by its own audit firm to file an 8-K like this one.
