I think that was the reason Desmond initially included the statement about a possible r/s. At the time of the first announcement of the new merger ECFL was trading at around 0.0035. Desmond probably calculated that a r/s would be necessary to reach his goal of a higher exchange. The next day, after seeing the positive response in share price, he realized that a r/s may not be necessary (or at least, a much smaller one that he originally thought). He therefore amended his statement.
