(ii) technologies developed jointly by the Parties will be jointly owned by the Parties but shall be included as a Licensed Patent or Licensed Technical Information (as the case may be) hereunder

106c and robotic enhancement are jointly developed hence jointly owned entity. Patent is an option but not required. It can simply be "Licensed Technical Information"

Hence no license (never mind exclusion) will be required by either Eontec or LQMT for use of such technology.

Geographic exclusion will still apply however.

2.3. Territories. Eontec shall take such action and measures as shall be necessary to ensure that Eontec Licensed Products are not sold or resold in or into the LMT Exclusive Territory by Eontec or any other party in the chain of distribution (whether as a part of a finished product assembled or produced by a third party or otherwise) without first obtaining the prior written consent of LMT. LMT shall take such action and measures as shall be necessary to ensure that LMT Licensed Products are not sold or resold in or into the Eontec Exclusive Territory by LMT or any other party in the chain of distribution (whether as a part of a finished product assembled or produced by a third party or otherwise) without first obtaining the prior written consent of Eontec.

In simple English.

Eontec (the new technology co-developer) can freely utilize new jointly developed technology such as 106c and robotic enhancement for customer (such as Huawei, Xiaomi, Vivo, ASUS) located within their territory. However, those end product cannot be sold into LQMT territory (such as US or Europe) without consent of LQMT (royalty $$).

LQMT (the new technology co-developer) can freely utilize new jointly developed technology such as 106c and robotic enhancement for customer (such as Apple, Google) located within their territory. However, those end product cannot be sold into Eontec territory (such as China or Asia) without consent of Eontec (royalty $$).
