There are better ways to get financing thru shares than Massive dilution and Reverse Splits....wiping out Shareholders


Realistically this Stock should have a Share Price of 10 cents....thats only a $5.4 Million Market Cap <----reasonable

@ 10 cents an S1 offering for 50 million Shares of 1 share and 1 Series A warrant dilutes the stock 100 million shares and gives the Company $4.8 Million after fees for salaries and other expenses to further the growth of the Company

Make the Term on Shares 6 months....the term on the Warrants 12 months

Yes the O/S would increase to 150 million....but the warrants could most likely be bought out without dilution before the 1 year term expires
Make sure the option to repurchase the warrants before maturity date for cash is written into the Purchase agreement

No Shareholder in the OTC would be upset if the O/S in an OTC stock increased 50 million......most dilution is far far greater
