MFN clauses are targets for shorts, when they target these tiny companies. They are actually beneficial, but when a shorts break them, they can be very, very useful for the shorts to achieve their ends. But I disagree with you on the nature of the clauses as a useful tool. But my belief, after observing a number of cutting edge microcap biotech companies that shorts particularly target for a variety of reasons is that MFN clauses should only be used for companies doing private equity, and when those companies go public they should do so after they’ve unwound the MFN clauses in some fashion or they should have a plan that makes them not such easy targets.

The law firms that routinely use them to create useful financings need to be educated.
