Seems like folks are talking about two different things as if they were one. The way I see it is like this.

Public offering to raise 20 million dollars to complete the SC acquisition. Suppose for ease of numbers the offering price is $10. Verb sells 2 million shares which is added to the float.

If we opened on the Nasdaq tomorrow morning the price would open at $13.20. The same as the close today. Those investors who bought into the offering would have gotten a nice discount of $3.20 per share. Then the pps goes wherever the market takes it on Nasdaq.

Am I wrong?
