And what STS is referring to is that in a cash deal you are given the cash for your shares and it all becomes a cap gain. And, with some of the large positions some posters here have, they would not be in the 0 bracket for sure. Now a stock swap, then we could put your suggestion to work and only sell off enough over time to keep total income below your 101K although for some here it would take an infinity to finally sell off all their shares if it was done peacemeal like that.
