You haven't done any DD on Sharp and the Schaefer shells.

Sharp has never operated a successful business - he has 2 companies that have been permanently revoked by the Nevada SOS.

His business practices are so shoddy that Sharp failed to register Clipper Corporate as a business entity in California the state in which it is domiciled. Which is illegal.

Is Sharp attempting to avoid paying California state taxes - even if Clipper isn't generating any revenue he still must be registered with the SOS.
