I can't speculate on that because I don't know the history between the two and haven't seen any documented between the two agreements from which to form an opinion.
But very intriguing.

Why start a copy cat company, with a very similar products unless you think the products will one day be worth something.
And if they were worth something then those common shares wouldn't be worthless would they?
And did they become worthless because of the actions by Walther or by the actions of Joe and Steve?

And if what you say is true, wouldn't that PROVIDE THE MOTIVE for Joe to conspire with Adelstein to steal back what he thought was his and destroy Walther in the process?
