Scivoletto is guilty of nothing except trusting Walther. Scivoletto could not have scienter, as did Walther. He did not know, when the preferred shares were issued, that Walther's purpose was to defraud Adelstein. When Walther told him, he refused to participate in the fraud and told Adelstein. No scienter in that!
