On December 7 , 2018, the last reported sale price of our Common Stock as reported on the OTCQB was $0. 3799 per share. The actual offering price per share of Common Stock will be as determined between us and A.G.P./Alliance Global Partners Corp. (the “Underwriter”) at the time of pricing and may be issued at a discount to the current market price of our Common Stock. We have applied to list our Common Stock on the Nasdaq Capital Market (“NASDAQ”) under the symbol “FUSZ,” which listing we anticipate will occur simultaneously with the closing of this offering.
