Section 1 – Registrant’s Business and Operations
Item 1.01 Entry into a Material Definitive Agreement
On October 22, 2018 we entered into an Investment Agreement (“Agreement”) with Tangiers
Global, LLC, a Wyoming limited liability company (the “Investor”). The Investor extended an
offer to purchase up to five million dollars ($5,000,000) of the Company’s common stock
(“Shares”). The Shares will be sold to the Investor, at the option of the Company, pursuant to
the effectiveness of the S1 registration statement that the Company will file to register the
Shares. The Investor will purchase Shares at a purchase price equaling to 82.5% of the lowest
trading price during five (5) consecutive trading days after the Company gives the Investor the
notice of sale of a portion of Shares.
Pursuant to the Agreement, the Company must file an S1 registration statement with SEC. Upon
the effectiveness of the S1 statement, the Company has the right to sell an amount of registered
Shares to the Investor not exceeding the total investment amount of $5,000,000 and not more
than 4.99% of the Company’s total shares outstanding at any time.
