Didn't properly register shares sold into market

In a nutshell, in Feb, 2016, the SEC charged BIEL, IBEX, St Johns, Andrew Whelan, Kelly Whelan and BIEL's CPA, Robert Bedwell, for not properly registering shares for sale, as well as some relatively minor accounting irregularities.
