David, let me jump in here and add a few comments.
As a member of the "kitchen Cabinet" I can tell you Kelly was
right on. The terms of the deal in my opinion and that of most if not all of the cabinet were not in the best interests of the shareholders. How could you expect Kelly to stay and run the company in a manor that was 180 degrees from what he thought best.
You can play the "hindsight" game from now till "hell freezes over" but I can tell you that Kelly did the only thing he could do at the time.
