I can see where the wording causes confusion, as both terms are used.

In most cases, a reverse merger is solely a mechanism to convert a private company into a public entity without the need to appoint an investment bank or to raise capital.

However in this case money is to be raised. Where is that money coming from? Answer: A new public offering.
