So which state - Deleware or Texas - covers shareholders? Anyone Know?

UOIP is obviously Deleware but if terms of OCT 2015 sale of Chanbond require governing law to be Texas.
Is that requirement just for the sale or forever?

Could make a big difference per Kapoor and Tony.

with UOIP incorporated in Delaware, but with the terms of the agreement (Misc. - Section 8.2) with Chanbond noting that governing law would be the State of Texas - eastern district --as minority shareholders, Texas would be pretty rough on us anyway (see Ritchie vs Rupe 2014).
