Blue Diamond Consulting LLC, a Colorado Limited Liability Company

BDC provides a suite of consulting services to the Cannabis industry including but not limited to: Medical Cannabis License Application writing and development, Medical Cannabis Business Development, Medical Cannabis Project Management, Medical Cannabis Product Development, Integrated Facility Construction Management. BDC is managed by Jonathan B. Alper with its main office at 535 N. Michigan Ave, Chicago IL. 60611. BDC has worked on medical cannabis projects in Michigan, California, Colorado, Florida, and Canada. Current projects include application development in Virginia and New Jersey. BDC currently adds value to Cann10 XL companies, Cannareet®, PlastArt Medical, Harvest 360 Tech and Cannabis Clean solutions, by providing turnkey solutions to licensed operators.

Clean 1st LLC / Cannabis Clean, a Colorado Limited Liability Company (see appendix #3 for CC)

Clean 1st / Cannabis Clean provides specialized Safety & Sanitation solutions to the cannabis industry, headquartered in Denver, Colorado. CC is managed by Steve McMorrow. BDC provides consulting and business development services to Cannabis Clean on a contract basis.

Joint Ventures:

Cann10 North America Holding Ltd. (25% Holding of BLDV, 51% Cann10 Israel, 24% Investors)

Cann10 North America was formed in December 2017 with an initial emphasis on promoting the upcoming CannX Conference in Israel, October 14th-16th 2018 and helping to establish the Cann10 brand in North America. Now that the Conference is only 60 days away, the business model will pivot to offering the unique innovations that come from the Cann10 XL, strategic partners of BLDV, and affiliates of Cann10 Israel.

Cann10 North America and the Cann Tech Alliance are the future of BLDV and the parties have notified the market that they are exploring multiple paths to integrating the experience and strengths of Cann10 Israel into the governance of BLDV with goals for merging operations in a way that will be beneficial to all parties. BDC presently manages Cann10 in North America.

Summary of BLDV Operations:

BLDV acts as a holding company and most of the company’s operational activity is enacted at the level of the LLC’s or joint ventures that are wholly or partially owned by BLDV. Each of the holdings is under contract with Blue Diamond Consulting (see above) to provide business and product development services.

BLDV is not current with its reporting obligations to the OTC markets, there are no restrictions on trading. The December 31st, 2017 Annual Report has been filed, 1st and 2nd QTR numbers are due. The company applied to Financial Industry Regulation Authority (FINRA) in June of 2016 to request a corporate action for a 10-to-1 reverse split. This request was denied by Finra due to a technical interpretation of what is known as the 6490 Rule. Removal of this hold is not required to achieve the goals of BLDV, however to give the corporation the most flexibility moving
forward, we will be actively and aggressively pursuing this removal in coordination with our attorneys and financial consultants. There are no corporate actions or reverse splits in progress. Currently we are updating our consulting agreements with attorneys and accountants and expect to have the status back to current by the end of September 2018 and to work toward SEC Reporting.

The Chief Executive Officer is committed to long term growth on the public side and will not engage in any short-term profiteering or share price manipulation. Management is focused on the profitability of the BLDV holdings and income/fees related to specific project activities of Blue Diamond Consulting LLC, and Cann10 North America, and the Cann Tech Alliance.
