The answer is NO. There will be no new company formed, and the S-1 does not even suggest this scenario. It says that in the end nFusz will have a new subsidiary. That's it. And, no, both companies together will not be worth "a lot more," they'll be worth whatever nFusz is worth plus whatever Sound Concepts is worth (valued at $25M). You might bolt a premium onto what Sound Concepts is worth should there be synergies to exploit, but it won't be a 10X premium, nowhere even close.

There will be no conditions on buying the stock, it'll be nFusz common stock until Sound Concepts is acquired and the acquisition will follow the offering.
