yes- and based on defamation -and reckless disregard for the truth does not even have to be shown bc zn and stock holders are not public figures
plus tortious interference w zn's business

those are a real basis for a suit -not the frivolous shareholder suit filed-which tries to create a new legal right which would destroy many many companies and change rules of notice retroactively
