Exchange of Shares. On the Closing Date (as defined below), NSH shall return 75,000,000 shares of SHMP common stock to SHMP, which shall be cancelled and returned to the unissued authorized shares of SHMP, and in exchange, SHMP shall issue to NSH, 5,000,000 shares of Series A Convertible Preferred Stock, which shall have such rights and preferences as are provided for in the Certificate of Designation for the Series A Convertible Preferred Stock as filed with the secretary of state of Nevada. The common shares to be returned shall be referred to as the “Common Shares”, and the Series A Convertible Preferred Shares to be issued as part of the Exchange shall be referred to as the “Preferred Shares”.
