LDSR can't buy back any shares off the open market because per Nevada state rules & regulations (LDSR is registered as a business entity in Nevada) a company with outstanding debt cannot spend cash buying back stock until all the outstanding debt is paid off first.

Besides what sense would that make to dilute stock into the market at a super steep discount just to buy it back at full market price? No sense at all.

The better thing you should be contemplating is why wasn't some of that $420,000 used to pay off the super toxic $125,000 Emery Note?

And why not use some of the remaining SPA balance under the $1,000,000 agreed upon limit to pay off that super toxic $125,000 Note?



As far as the proposed $10,000,000 credit facility. That would require an S-1 registration statement. I don't see LDSR filing an S-1 registration statement.

I haven't followed LDSR that closely but if there is silly talk about LDSR planning on uplisting to the NASDAQ in the future then there is no doubt also talk about LDSR working on an audit and planning to register with the SEC since being an SEC registrant is one of the requirements to trade on any exchange.


Technically since LDSR is a former shell that filed a Form 15 to terminate its registration with the SEC, Rule 144 doesn't even apply for any stock issued by LDSR. So the shares issued towards the Emery Note and the Blue Life LLC Note as well as to the consultants should all have to be registered with the SEC to be free trading. No doubt Emery and Blue Life have some dirty attorney on hand to submit a bogus opinion letter that lies about meeting the Rule 144 requirements so that the TA can remove the restrictions on the stock risk free.
