The letter of intent was signed 4 weeks ago.

Rory stated that DD nearly complete which means audited financials from Sound Concepts 2016 to present are well underway or completed.

BOD has been chosen but not announced...a NASDAQ requirement. The IB could cobble together a prospectus rapidly but then the sticky issue of the share price remains. So the IB will be underwriting and offering shares that meet the uplisting requirement.
