Almost no retail investors will have a choice in whether to sell in an LBO. SEC rules are quite clear on who can own private stock. Even institutional investors will have trouble holding stock in a private company. Investment banks, for example, have no interest holding illiquid private shares that have no market.

Musk did not think any of this through, nor did he consult with an attorney (dozens of which would have been involved in serious LBO talks). He made the whole thing up (very possibly while on drugs).
