You are correct! The SEC will receive and review the complaint, then forward it on to the appropriate regulator or law enforcement organization. This is the reason the FBI gets involved in cases that were first reviewed by the SEC and determined to be criminal versus civil actions. If it is not an SEC registered corporation, the SEC has no "official" jurisdiction, but does serve as a "filter", forwarding the case to the appropriate regulatory or law enforcement agency. The SEC cannot investigate a non-SEC registered corporation, as it lacks the power to compel the suspected violator to respond.
BTW...I have written several SEC complaints, each time "explaining" why the SEC has jurisdiction! Often the jurisdiction claim is a "stretch", but the ultimate goal is to whack the offender. If the SEC concludes there appears to be "evidence" of a civil or criminal violation...PERFECT!
