This is from a friend of mine.......I sent the 10K to him and asked for an opinion.....he’s an investment consultant with Wells Fargo. Comments welcome.....

The transaction is highly dilutive to tpiv shareholders.
I did not see any language about selling restrictions on the private placement shares and the shares issued to Marker. If there are no restrictions I think that would be problematic. Being a small private company I would guess marker to have only a few shareholders. And now this transaction gives them a currency, a way to monetize their shares by selling the stock.
And the private placement is highly irregular with a pricing of $4 per share. Why did they have to price the newly issued shares at 4 when the stock has been trading north of 10? Hopefully there are selling restrictions on these shares. And who is the mystery buyer of shares at 4? There is a lot of mathematical pencil whipping going on it appears to me.
