There is nothing to prevent a new entity from doing what you suggest; however I don’t think it would be wise to massively dilute stock upon a merger and drive away any investor interest...
Logically there will be some % of stock go to new entity. A lot of times it is restricted. Novus Capital and other preferred shareholders I think probably have some equity position already in QSIM per last falls agreements..
Shareholders of any new potential merger candidate may already have a position as well..
