Unfulfilled audit promises:

1.) Expecting the audit any day now. Everything has been submitted and is in order. Audit/Uplist, then Spinoff/Dividend being planned for shortly after. Major moves being made behind the scenes here - Huge developments across the subs are on the way. Stay tuned #power3.0

2.) Auditors will be receiving formatted and updated 10K tomorrow morning as part of the closing process to auditor engagement.

3.) In anticipation of the upcoming audit completion, the company proactively submitted the uplist application and certification documents last week to otc markets to avoid any lead time delays upon filing the final submission.

4.) Over the coming days, shareholders can expect additional filings thereby solidifying the uplist process. OTC Markets will remove the “pink” designation in exchange for OTCQB once complete.

5.) Finally, the audit itself is complete! From the engagement to today the entire exercise was examining our transactions over the past three years, deposits, expenses, payables, receivables, contracts, inventory, you name it.

(This one is especially strange. "Complete" March 7, but here we are May 16 & it's STILL not complete.)

6.) Audit update: This weekend we prepared the adjustments and will be submitting the updated 10-K with the requested revisions on Monday for final approval. There may be some minor back-and-forth with the auditors this week to get it ready for final submission. Stay tuned!

7.) Email from auditors states (as it currently stands) that by the end of the upcoming week we should have the final updates to financials completed including the final review & approval including EQR approval. With a couple days cushion we've been given an April 6th date for filing

8.) We almost made it for the audit submission this afternoon. We are disappointed we can't say it is filed just yet but it was a 50/50 right up until this afternoon, that's how close we are. It'll be out soon. Couple more minor adjustments and that should seal the deal.

9.) Received an email from the auditors today informing us that the audit will be completed and ready for filing by the end of this week.

10.) At the end of the day Thursday, I reached out to a company that was highly recommended to us called the CFO Squad (lol). They immediately jumped on the file and one of the lead members conducting the ‘polishing up’ of the statements is a gentleman who worked for RBSM and more specifically, was trained by and worked under our lead auditor at RBSM for ten years. This person knows exactly what is needed to make the final few adjustments to have it look exactly how RBSM wants it to look and read in order to have the process completed. They assured us that by Tuesday or Wednesday of this week they would be done making these adjustments. It then goes back to RBSM which should be for the final time and then upon approval we can finally submit the completed audit, put this to rest, and continue moving forward. As for the missed deadlines and dates we were originally provided and the resultant egg on face that occurred, we feel that we have now gotten down to the bottom of the constant back and forth regarding the wording and that this one time ‘polish up’ will provide the required finishing touches for submission.

11.) Reason for Delay in Posting Financial Report: State below in reasonable detail why the Annual/Quarterly
Report could not be filed within the prescribed time period.
Accountants are currently also finalizing a multi-year audit of the company's financial statements in order to
up-list and need additional time to complete this quarterly report.
