After going through the info available, I agree with your view, any agreement to issue unregistered securities is deemed material to investors and an 8-K was required last April, no matter what IMO.
The next stop may well be a SEC trading suspension followed by a revocation of the NPWZ ticker. That option has recently become the cheapest and quickest way for scam CEOs and their scam attorneys to shed unwanted investors. The old wash, rinse, repeat, (with a R/S), is hardly being used anymore.
