Let's start by understanding the "business". What exactly is a CLEC? https://en.wikipedia.org/wiki/Competitive_local_exchange_carrier

Ok, good to know- what else does today's PR say? "The Wyoming-based CLEC Holding is currently in talks to acquire several Competitive Local Exchange Carrier companies ("CLECs") that are all revenue-producing and in growth mode."- So we, ANDI/UTOP will be acquiring CLEC Holdings, obviously to assist CLEX in consummating the acquisition of "several" CLEC Companies (which, since we will own CLEC Holdings, will be "our new subsidiaries".

Sounds Good so far, but how do we pay for all of this?

Step 1- We acquire CLEC Holdings for a bunch of ANDI Stock (amount to be determined/announced of course)

Step 2- "We are in talks with multiple acquisition targets, as well as funding sources. We will seek to secure up to $15 Million in funding directly to CLEC Holding, with no dilution to ANDI or its shareholders.

Not worded as artfully as I would have liked, but the "we" above is really CLEC Holdings (which will be an ANDI/UTOP Subsidiary), and "we" are going to get some sort of "traditional" financing (up to $15 Million for now) to finance the acquisitions of "several CLEC Companies"

Excellent- so how long will this take?

We hope to announce our first acquisition in the next 10 days.

So obviously, CLEC Holdings is in very advanced stage of talks with at least one of the "several" other companies.

All great news no matter how you look at it!
