You are correct that an RS is not likely because of likely wording in debtor contract, but it usually allows for debtors to allow it. With uplisting, as long as RS ratio is low, they would likely agree. Thus wording is more likely “no RS without debtor pre-approval in writing”

This is much better than your position, because with yours it is also much more unlikely that there will never be an uplist.
