Authorized shares are NOT affected by a reverse split, I've posted links some weeks ago, or you can google it...

It seems the merger documents don't allow any splits/combinations of stock as mordicai posted, but if it happens I also think it would be positve because > $5 much more funds are allowed to buy WMIH


I rarely respond here, but had to step in about the RS as well as a comment about WMIH valuation.

As a note, I have been involved with WM since prior to the seizure. In addition, I was one that argued to watch for what WMIH acquired and expected it to be a mortgage servicing or related company soon after WMIH emergence.

As for share count and valuation, WMIH will have over 1 billion shares outstanding after consummation of the acquisition. Assuming a share price of $1.40 (implied value of the deal), that puts WMIH at a $1.4 BILLION market cap. For WMIH to get to $4 (minimum for NGM listing), that would be over a $4 billion market cap. NOT GOING TO HAPPEN.

I discussed over on Boardpost before this merger was announced that WMIH would use a reverse split. I am 100% confident it will happen. I changed my timing due to the complexity of the deal (related to how Nationstar gets WMIH shares.) The RS will occur upon the closing of the deal later this year - likely around a 1:5 split reducing share count back closer to 200mm and moving share price up to $7 range.

This means that there will be little risk of meeting listing standards due to share price as well as putting share price at levels required by certain institutional investors. At the same time, authorized share count drops by a factor of 5 to 700mm leaving as much as 500mm shares available for future acquisitions by way of stock.

To be clear, I believe the RS is a positive and not a negative. So, I do not understand why anyone would be in disagreement with what should be a positive outcome. Like I said, I am 100% positive about the RS happening.
