You aren't getting it. It doesn't matter what price he converts at. They convert to 1.25Billion shares..PERIOD. He will convert AFTER the R/S - so that he doesn't dilute himself. That's it. This isn't complicated.

As for SP - it is totally irrelevant for now.

He will have his 1.25BB which is 99% of the company. At that point he can R/S again - this time not diluting himself at all. Say the Price is .02 - he can do 100:1 again and get price to $2 with only 12.5Million O/S - and he can do all sorts of financings with the 2B authorized...He will be successful at raising money after he vends in assets.

In the end, the current SHs won't benefit at all - because everyone will be reduced by 99% before any of this occurs.
