NoHo is "suit proof" - meaning that they don't have any assets to attach in a lawsuit - they would be wasting their money suing NoHo.

Why is Zouvas a party in the lawsuit - why isn't he representing the shareholders - the answer is because he and Mersky are trying to shake down GRAS for stock for personal enrichment.

The lawsuit in no way benefits the shareholders.
