They are included. Sole dispositive power points to the legal owner. Meaning, Garrett doesn't own these shares. So they are most likely owned by City National Rochdale. Or perhaps Mr. Gozzillo. Either way, Garrett isn't the only person holding shares. And they may have bought a lot more since that filing.
