I think they could still qualify under the Market Value standard because they only need a $2 share price at the close, but they would have to have a market cap of $50 million, which necessitates a $3 price at current O/S. So, yeah you're right.

However, I think the share price is being manipulated. The investors they went to probably aren't stupid, they know they have x weeks until the uplist might occur at $3, and see an opportunity where Virtra can't buy back shares to hold up the price, coupled with a seasonal lull in Virtra contracts and low volume, and it's an easy target to get shares sub-$3 or $2.70.
