Blair is correct. Just look at the chart on the bottom of page 30 of the prospectus.

The BOD has 187+ million to issue after the R/S.

After a reverse split the BOD starts to reissue shares to PN until he owns 50% of issued shares which would be less than 12 million total. That action is justified as there are ample shares available.
